Clipp Promotional Terms & Conditions

These Promotional Terms and Conditions (“Terms”) govern participation in promotional programs (each, a “Promotion”) administered by Clipp, Inc. (“Clipp,” “we,” “us,” or “our”) through the Clipp mobile or web application (the “Platform”).
By creating, participating in, or redeeming a Promotion, you (“Restaurant,” “Supplier,” or “Participant”) agree to these Terms.
Overview of the Promotion Feature
Clipp may from time to time offer or fund Promotions to encourage engagement or purchasing activity on the Platform.
A Promotion may include a subsidy or discount applied by Clipp to qualifying order amounts, subject to the conditions and eligibility criteria described in each Promotion’s details.
Eligibility
Promotions are available only to verified Platform users in good standing.
Each Promotion may include specific eligibility requirements such as geographic restrictions, order minimums, product categories, or supplier participation.
Clipp reserves the right to verify eligibility and to deny or revoke participation if eligibility criteria are not met.
Promotion Period
Each Promotion will specify a start date and end date (and, if applicable, start and end time) in the Participant’s local time zone.
Promotions automatically expire at the stated end time or when funds are exhausted.
Clipp may modify, suspend, or terminate a Promotion at any time, without prior notice or liability.
How Subsidies Work
Subsidies are funded directly by Clipp and applied at the time of order placement.
The subsidy amount and applicable conditions will be displayed to Participants prior to order confirmation.
Subsidy availability may be limited, and Clipp does not guarantee that any particular order or Participant will qualify.
Participant Responsibilities
Participants are solely responsible for:
Reviewing all Promotion details, eligibility conditions, and time windows before placing an order.
Ensuring compliance with all applicable laws, regulations, and tax obligations, including those of the State of New York.
Maintaining accurate records of transactions and promotions redeemed.
Fulfilling all customer orders in accordance with applicable supplier or restaurant obligations.
No Guarantees or Representations
Clipp makes no guarantees that participation in any Promotion will result in increased sales, revenue, traffic, or any other business outcome.
Results vary depending on individual business performance, customer behavior, and other factors beyond Clipp’s control.
Participation is voluntary and at the Participant’s own risk.
Modification and Termination
Clipp may modify, suspend, or terminate any Promotion or the entire promotional program at its sole discretion, without prior notice.
In such cases, Clipp will not be liable for any damages or lost opportunities resulting from modification or termination.
No Warranties
The Platform and all Promotions are provided “as is” and “as available.”
Clipp disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
Limitation of Liability
To the fullest extent permitted by law:
Clipp and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages (including loss of profits, revenue, data, goodwill, or business opportunities) arising out of or relating to any Promotion.
Clipp’s total aggregate liability to any Participant for claims relating to a Promotion shall not exceed the total subsidy amount actually provided by Clipp to that Participant under the specific Promotion.
Nothing in these Terms limits Clipp’s liability for fraud, willful misconduct, or gross negligence, to the extent such limitation is prohibited by New York law.
Force Majeure
Clipp shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including system outages, network failures, labor disputes, natural disasters, governmental actions, or acts of third parties.
Compliance and Taxes
Participants are responsible for complying with all applicable federal, state, and local laws (including those governing advertising, pricing, and promotions) and for reporting and remitting any applicable taxes resulting from subsidy amounts or increased sales.
Governing Law and Jurisdiction
These Terms and all related disputes shall be governed by and construed under the laws of the State of New York, without regard to its conflict-of-law principles.
The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York.
Severability
If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
Entire Agreement
These Terms, together with any applicable offer details displayed in the Platform, constitute the entire agreement between Clipp and the Participant regarding Promotions, superseding all prior communications or understandings.
